Deemed Approved: Faster SEC Processing Starts Now

In a bold move to enhance public service, the Securities and Exchange Commission (SEC) has released Memorandum Circular No. Z, Series of 2025, reaffirming its commitment to efficient service delivery. This circular enforces strict timelines for the processing of permits, licenses, and other applications—and it introduces the “Deemed Approved” Rule.



What Is This Circular All About?


Issued on 10 July 2025, the circular supports the implementation of Republic Act No. 11032 or the Ease of Doing Business and Efficient Government Service Delivery Act (EODB Act). It aims to reduce red tape, promote accountability, and improve turnaround times.



Key Highlights of the Circular:


Streamlined Processing Time:

All applications submitted to the SEC must now follow the following timelines:

  • Simple Transactions – 3 working days

  • Complex Transactions – 7 working days

  • Highly Technical – 20 working days

  • Special Law Transactions – As provided by law or Citizen’s Charter


Processing time starts only upon submission of complete requirements.



Deemed Approved Rule:

If the SEC fails to act within the prescribed period without issuing a written notice of delay or deficiency, your application will be considered DEEMED APPROVED—provided all required documents were submitted. This means:

  • No more unnecessary delays

  • Immediate issuance of the permit or license within 2 days after payment of fees



Exceptions Apply:

Applications under investigation, or those involving fraud, force majeure, or requiring external clearances, are excluded. A full list of exclusions is provided under Annex A of the Circular.
